BYLAWS
Part I - MEMBERSHIP
(Chapter 8 of the Constitution)
B1.01 A member may be removed from the
membership rolls of the Congregation for inactivity or other reasons as
provided in the constitution. A person is considered inactive if
a)
He or she does not commune,
make a monetary contribution of record, or participate in the programs of the
Congregation for 24 months, and
b)
One or more of the pastors
periodically attempts to contact the person during the next 12 months, and
c)
The person either (1)
indicates an intent not to return to the Congregation, or (2) does not commune,
make a monetary contribution of record, or participate in the programs of the
Congregation by the end of that 12-month period.
Part II - THE ANNUAL MEETING
(Chapter 10 of the Constitution)
B2.01 All Congregational meetings shall be
called in accordance with Chapter 10 of the constitution. The time and place of the meeting shall
be set by the congregation council.
Announcement of the time and place of the annual meeting of the congregation
shall be made at two public services immediately preceding the meeting, said
services to be at least a week apart, and by written notice (which may be a
notice in such publications as the congregation or the pastor may periodically
issue) mailed to the voting members at least ten days in advance of the
meeting. Annual reports shall be
received, officers elected and budgets approved at the annual meeting.
B2.02 Two additional meetings per year shall
be scheduled by the congregation council for the purpose of communicating with
the congregation and to conduct congregational business.
B2.03 In the following cases
voting shall be by written ballot
a) To adopt or amend articles of incorporation, constitution or bylaws of
the congregation
b) To request the resignation of a pastor
c) To excommunicate a member from the congregation or to remove a member
from office in the congregation
d) When requested by 10% of voting members present
Part III - OFFICERS AND MINISTRIES
(Chapter 11 and Chapter 12 of the Constitution)
B3.01
Only a voting member of the congregation shall be eligible for elective office
or service on the congregation council.
Non-members may serve on committees and task forces. The voting members
of the congregation council shall include the pastors and other staff members
who are employed under a call from the Congregation, the officers of the
congregation, and the stewards of the various ministries.
B3.02
Organizational Structure
a)
There shall be 11
ministries, each under the leader of a Steward of Ministry who shall be elected
for a three-year term by the congregation.
b)
Stewards shall be
responsible for the organization and implementation of their Ministries.
c)
The authorized standing
committees shall meet from time to time as necessary and shall report their
activities to their respective Steward or Ministry in sufficient time for items
to be reviewed by the Council at its monthly meeting and the congregation at
its regular meetings.
B3.03
Organizational Responsibilities
The
eleven (11) ministries (whose specific areas of responsibility shall be
established by the congregation council) are:
a) Auxiliary Ministry
b) Children, Youth and Families Ministry
c) Christian Education Ministry
d) Elementary School Ministry
e) Evangelism and Outreach Ministry
f) Facilities Ministry
g) Fellowship Ministry
h) Finance Ministry
i)
Music, Dramatic and Fine
Arts Ministry
j)
Stewardship Ministry
k) Worship Ministry
B3.04
a)
The
Congregation Council may, by continuing resolution, alter the organizational
structure of the Congregation set forth in Section B3.03, to meet the needs of
the Congregation, reflect changed circumstances (including, changes in
personnel, resources, or functions of one or more ministries), or for other
good reason. These structural changes may include, among others, the
combination, division, addition, or dissolution of individual ministries, as
determined by the Congregation Council in its continuing resolution.
b)
The
Congregation Council may implement such changes immediately but must submit
them for approval by the Congregation, in the form of an amendment to the
Bylaws, at the next regular Congregational meeting (or the next succeeding
regular Congregational meeting if the notices required for such Bylaw amendment
cannot be given within the required time preceding the next regular meeting).
If the Congregation votes on the amendment and fails to approve it, the
organizational changes, and the special resolution incorporating them, shall be
of no further force and effect, and the Congregational structure shall revert
to the structure set forth Section B3.03 as though the continuing resolution
had not been passed.
c)
This
provision does not limit the authority of the Congregational Council to take
any action that it is authorized to take under the Constitution or Bylaws of
this Congregation, or otherwise.
B3.04 The
duties of the officers of the congregation are as follows:
a)
President
a.1 The president of the congregation shall preside at all meetings of
the voting members of the congregation.
a.2 He/she shall enforce the Constitution and the Bylaws of the
congregation to the best of his/her ability.
a.3 He/she shall call and preside over the meetings of the congregation
council.
a.4 He/she shall be in regular communication with the pastors and staff
regarding affairs of the congregation.
a.5 He/she shall ensure the proper preparation of the succeeding
president.
b)
Vice President
b.1 The Vice President shall attend congregational council meetings.
b.2 He/she may be responsible for the activities of special task forces,
ad hoc committees and projects arising during the year.
b.3 He/she shall preside over meetings in the absence of the President.
b.4 He/she shall perform other duties as requested by the President
and/or the congregation council.
c)
Secretary
c.1 The Secretary shall be present at all membership meetings and at all
meetings of the congregation council and shall enter the minutes of all said
meetings in a permanent record over his/her signature.
c.2 He/she shall perform all the duties normally pertaining to his/her
office.
c.3 He/she shall perform the duties of the President in the absence of
the President and the Vice President.
Part IV - CONGREGATION committees
(Chapter 13 of the Constitution)
B4.01
Mutual Ministry Committee
a)
The purpose of a Mutual
Ministry Committee is to provide encouragement, support, advice, and feedback
to the pastors and other staff members who are employed under a call from the
Congregation (“called persons”).
b)
Each called person must
participate in a Mutual Ministry Committee for as long as he or she remains a
called person.
c)
There shall be a separate
Mutual Ministry Committee for each called person. Each Mutual Ministry
Committee shall consist of three to five members, all of whom shall be voting
members of the Congregation. No person may simultaneously serve as a member of
more than one Mutual Ministry Committee. Called persons are not members of
their respective Mutual Ministry Committees.
d)
Subject to the approval of
the President and a majority of the congregation council present and voting,
each called person may (1) determine and change the size of his or her Mutual
Ministry Committee within the limits set out above, (2) select, remove,
replace, or add members to that Committee, and (3) fill vacancies on that
Committee. The president and a majority of the Congregation Council present and
voting may fill any vacancy that exists for more than 60 days.
e)
Each called person shall
meet with his or her Mutual Ministry Committee at least once every six months,
and is encouraged to so at least once every three months. A called person or a
majority of his or her Mutual Ministry Committee may call additional meetings.
Joint meetings of two or more Committees may be called by a majority of the
members of each Committee or by their respective called persons acting jointly.
